may be set at any annual session of the Corporation, after consultation with the Bishop, or may be called by the Bishop with a concurrence of three-quarters (3/4) of the Corporation’s district superintendents. A special session of the membership shall have only such powers as are stated in the call for such special session. Section 3. Notice of Sessions: Written or printed notice stating the place, day and hour of any session of the membership shall be delivered, either personally or in another efficient and economical way, to each member entitled to vote at such session, not less than five (5) days before the date of such session, by or at the direction of the Bishop or other persons involved in calling the session. In case of a special session, or when required by statute or by these by-laws, the purpose or purposes for which the session is called shall be stated in the notice. If mailed, the notice of a session shall be deemed to be delivered when deposited in the United States mail addressed to the member at his/ her address as it appears on the records of the Corporation, with postage thereon prepaid. Section 4. Quorum: When a session of the membership is in session, it shall require the presence of a majority of the whole number of members registered as in attendance at the session to constitute a quorum for the transaction of business; but a smaller number may vote to take a recess or adjourn from day to day in order to secure a quorum or to adjourn sine die. Article V - Board of Trustees Section 1. General Powers: The Board of Trustees shall have the powers assigned to the Board of Trustees by The Book of Discipline . The Board of Trustees shall serve as the Board of Directors of the Corporation. The Board of Trustees duties shall include the responsibility of ensuring the application of the United Methodist Trust Clause (as set forth in the Book of Discipline ) to all of the Corporation’s properties. Any authorized sale, transfer, lease, mortgage or purchase of the Corporation’s real property shall be by written instrument, executed by any two of the Corporation’s officers. Section 2. Number, Tenure and Qualifications: The number of trustees shall be twelve (12), and it is recommended that one third be clergy, one third lay men and one third lay women. Trustees shall be elected in classes at the annual session of the membership for a term of four (4) years (or until their successors are elected). Trustees must be of legal age and lay members must be members in good standing of local United Methodist Churches within the bounds of the Corporation. Trustees need not be members of the Corporation. Section 3. Ex-Officio Members: The Corporation’s Treasurer/Director of Administrative Services shall serve ex officio, without a right to vote, as Treasurer of the Board of Trustees. The Bishop may appoint a Conference district superintendent to serve, ex officio, without a vote, as a cabinet representative to the Board of Trustees. Section 4. Regular Meetings: Within four weeks of the close of each annual session of the membership, the Board of Trustees shall hold its regular annual meeting to elect officers. The Conference district superintendent assigned to the Board of Trustees as the cabinet representative shall convene the meeting. Section 5. Special Meetings: Special meetings of the Board of Trustees may be called by or at the request of the Bishop, the president of the Board of Trustees or any three trustees. The person or persons authorized to call special meetings of the Board of Trustees may fix any place as the place for holding any special meeting of the Board of Trustees called by them. Section 6. Notice: Notice of any special meeting of the Board of Trustees shall be given at least five (5) days previous thereto by written notice delivered personally
